The name of the Association shall be: Tampa Bay Par Seekers hereafter referred to as the Association
Article II: Purpose:
The purpose of this Association shall be to promote interest in golf; to encourage good sportsmanship; to plan and conduct competitive tournaments; and to enjoy the fellowship of other golfers through weekly and other golf events.
Article III: Officers: (Executive Board)
The elected officers of this Association shall be: President, Vice President, Secretary, Treasurer.
Article IV: Board of Directors:
The Association shall be governed by the President, Vice President, Secretary, Treasurer and the appointed Tournament Chair, Rules Chair, Handicap Chair and Membership Chair. Past President shall serve as an advisory member.
Article V: Amendments
An amendment to the Constitution and By-laws may be proposed by the Board of Directors, a committee appointed by the Board of Directors, or by a petition signed by (2/3) of the membership. Any proposal must be posted on the bulletin board two (2) weeks prior to a General Meeting where it must be read and ratified by 50% plus 1 vote of the membership present.

Article I Membership
Section 1:
There shall be two types of membership in the Par Seekers Golf Association on the championship course.
A. Full Membership
A resident owner of Tampa Bay Golf & Country Club in good standing in the Master HOA Association “Tampa Bay Community Association” having an established handicap is eligible to participate In weekly play, to vote, hold office and to play in all events. Effective January 1, 2011 in accordance with Article II: Fiscal Year.
B. Associate Membership
A renter for a minimum of three (3) months (provided owner of Tampa Bay Golf & Country Club is in good standing in the Master HOA Association “Tampa Bay Community Association”) having an established handicap is eligible to participate in weekly play, but is not eligible to participate in the Club Championship or the President’s Cup Tournaments. Effective January 1, 2011 in accordance with Article II: Fiscal Year.
C- Social Membership
Any paid member from prior years in good standing with the TBG&CC Master HOA may become a Social Member.
Social Members may attend Par Seeker meetings/luncheons by paying for their meal. There will be no membership fee and they will have no voting rights.
Section 2:
Members must establish a USGA handicap which has been adjusted to the Tampa Bay Golf & Country Club course rating.
Section 3:
A resident seeking membership must post no less than 3 front and/or back scores to be eligible to play in handicap events. No member will be allowed to play in Championship events unless having posted 10 nine hole scores.
Article II: Fiscal Year –
The fiscal year shall be from January 1 to December 31.
Article III: General Meetings
Section 1.
The Association shall have three (3) general meetings per year on dates established by the Board, plus an annual Banquet meeting held the first week in December.
Section 2.
Special meetings may be called by the President and may also be mandated by a petition signed by fifty (50%) of the membership.
Section 3.
A notice of all meetings must be posted on the bulletin board 3 weeks prior to the meeting.
Section 4.
Meetings will be conducted according to Robert’s Rule of Order revised as guide.
Section 5.
A quorum of 30% of the membership must be present to conduct business.
Article IV Dues
Section 1.
Annual dues shall be established by Board of Directors upon completion of an operating budget for the ensuing year.
Section 2:
Dues are due and payable by January 1. Those who are delinquent will not be eligible to participate in any event scheduled by the Association until their dues are paid.
Section 3:
Annual dues are for the fiscal year. After June 30, dues shall be prorated at 50% of the annual dues for new resident owners and for a member in good standing who wants to transfer to the 18 hole league. Prorating for a member in good standing to transfer shall be at the discretion of the Board.
Article V: Elections
Section 1:
Nomination of Board members shall be made by a Nominating Committee consisting of three (3) members (one to be the Chairman), appointed by the President sixty days prior to the November General Meeting. No elected officer of the current board is eligible to serve on the Nominating Committee.
Section 2:
A slate of at least two (2) candidates for each office is desirable. An elected officer may serve two (2) consecutive years in any one position, unless said officer is willing to run as no opposition for one year.
Section 3:
The report of the Nominating Committee listing the slate of Candidates shall be posted on the bulletin board by the Chairperson at least two (2) weeks prior to the General Meeting.
Elections
Section 4:
In the event the Nominating Committee is unable to proffer a candidate, the incoming President, following the election, shall have the responsibility of appointing any unfilled chairs.
Section 5:
Election of Board Members shall be held at the General Meeting in late fall.
Section 6:
Ballots will be prepared by the Nominating Committee and absentee ballots will be issued upon request to those who have a valid reason, i.e., medical, absence from the community due to travel or work on the day of balloting.
Section 7:
In case of a tie vote, the results will be determined by a revote of those present.
Section 8:
The President will announce and post the election results following the report of the Nominating Committee at the General Meeting.
Article VI: Powers of the Board of Directors
Section 1:
The Association shall be governed by a Board of Directors, which shall conduct the business of the Association.
Power of the Board of Directors
Section 2:
The Board shall establish policies and rules of the Association. These shall be posted two (2) weeks before any vote by the membership. All policies and rules shall be reviewed each year for needed updates and changes.
Section 3:
A quorum of the Board shall consist of five (5) members and any vote taken shall be binding upon the full Board.
Section 4:
Each officer shall be entitled to one (1) vote. In the absence of the Chairperson, the Co-Chairperson may cast a vote.
Section 5:
Either the President or Vice-President must be a year round resident of Tampa Bay Golf & Country Club.
Section 6:
Board Chairpersons and Co-Chairpersons of each committee must represent both year and part-time residents.
Section 7:
It is the duty of each Chairperson to appoint her Co-Chair and select a committee when necessary.
Section 8:
All tournaments and events shall be conducted at the discretion of the Tournament Chairperson and her committee.
Power of the Board of Directors
Section 9:
Each member of the Board of Directors shall maintain and transfer her yearly records to the incoming Board members.
Section 10:
The Board of Directors, by majority vote of the remaining members, shall fill any vacancies created by resignations of elected offices.
Article VII: Duties of the Members of the Board of Directors
Section 1: President
A) The President is the Executive Officer of the Association and shall preside as Chairperson of all meetings of the Board, General and Annual Meetings, and any special meetings of the Association. She shall provide liaison between the members of the Management of Tampa Bay Golf & Country Club and the Women’s and Men’s Golf Associations on any matters of common interest or concern. She may delegate the later responsibility to some other member of the Board.
B) The President shall appoint the Chairperson of all outstanding committees.
C) The President shall, in the absence of the Treasurer, disburse such funds as are necessary for the proper operation of the association.
D) The President may invite anyone to attend Board Meetings for the purpose of furnishing information relevant to any deliberations except to furnish information as requested.
E) The President shall appoint a committee of two (2) members to conduct an audit of the records of the Treasurer for the current year. A written report will be submitted to the Board in November.
F) The President shall appoint a special committee as deemed necessary (i.e., by-laws revisions, special events, etc.) and shall dismiss upon completion of the assigned tasks.
Duties of the Members of the Board of Directors
Section 2: Vice President
A) The Vice President, in the absence of the President, shall perform the duties of the President.
B) The Vice President will chair all invitational events.
C) The Vice President will purchase and present the President’s gift at the Annual Meeting.
Section 3: Secretary
The Secretary shall keep complete and accurate records of meetings of the Association and shall have charge of all correspondence.
Section 4: Treasurer
A) The Treasurer shall keep an account of all monies received and shall pay any bills necessary to operate the Association.
B) The Treasurer is authorized to maintain an account and sign checks for the payment of all bills presented.
C) During the Treasurer’s absence, she shall give all the records and the check book to the President.
D) Expenditures ranging from $50.00 to $200.00 will require approval of the Board.
E) Expenditures over $200.00, not previously approved in the budget, will require approval of the membership.
F.) As the Association is a non-profit organization and does not file any income tax with the Internal Revenue, it is not necessary to maintain records for more than three (3) years. Therefore, it will be the responsibility of the Treasurer to always maintain the past three (3) years of records. All prior years of records will be destroyed.
Section 5: Tournament Chairperson
A) The Tournament Chairperson shall schedule and supervise all Association events with the exception of Invitationals.
B) The Tournament Chairperson shall appoint a committee member to chair each of the special events which may be scheduled by the Association for that year. She will also appoint Chairperson’s for birdies, chip-ins and hole-in-one categories.
Tournament Chairperson
The event Chairperson is responsible for scheduling, organizing, conducting, obtaining and presenting the awards for that event.
C) A yearly calendar of events will be developed by the Tournament Chairperson and presented to the Board for approval.
Section 6: Rules Chairperson
The Rules Chairperson will meet with the Golf Pro to establish local course rules and to resolve disputes concerning rules.
Section 7: Handicap Chairperson
A) The Handicap Chairperson will adjust and post 9 hole scores from league play.
B) The Handicap Chairperson will maintain a record of Low Gross and Low Net individual scores for the current year.
Section 8: Membership Chairperson
The Membership Chairperson invites new residents to join the Association and provide them with information concerning the Association. She will maintain an up to date list of all members and provide this to all the members and to the Web Master to post on the site.
Section 9: Immediate Past President
The immediate Past President is a non-voting member of the Board, who, through her past experience, provides continuity and advice to the Board.
Article VIII: Standing Committees and their Duties
A) Social Committee
This committee will be responsible for the lunches throughout the year, and when appropriate, will schedule social events with the Women and Men Golf Associations.
B) Sunshine Committee
This committee is responsible for sending cards to members who are ill, hospitalized or have experienced a significant loss in the family.
C) Publicity Committee
1) The committee will report winners of each event sponsored by the Par Seekers to the appropriate newspapers (Tampa Bay Golf & Country Club, local news and local newspapers).
2) This committee will promote news items that will create or be of interest to the residents of Tampa Bay Golf & Country Club.
